The Securities and Exchange Commission of Pakistan (SECP) has amended the Companies Regulations, 2024 to create a centralized Ultimate Beneficial Ownership (UBO) Registry for the corporate sector, to be housed at the SECP. The changes are intended to ensure accurate, up-to-date beneficial ownership information and align Pakistan’s framework with Financial Action Task Force (FATF) and Organisation for Economic Co-operation and Development (OECD) recommendations. Under the amended rules, companies must submit UBO information to the SECP for each financial year ending on or after June 30, 2025, via the SECP’s eZfile portal alongside other regulatory returns and forms. Once the registry data is available, access will be provided to financial institutions and other stakeholders as needed.
