The Council of the Slovenia Securities Market Agency has adopted a principle position setting out the timing sequence and key milestones for the combined process of incorporating a real estate investment company and conducting a public offering and admission to trading of its shares on an organised market. The position is intended to align multiple interlinked procedures that require sequential decisions by the agency. The agency describes the real estate investment company as a special form of alternative investment fund established under the Act on Forms of Alternative Investment Funds, dedicated to pooling investors’ funds for investment in real estate or real estate-related assets in line with a predefined investment policy, with shares required to be admitted to trading and therefore available to non-professional investors. Only an alternative investment fund manager authorised to manage funds with a real estate fund strategy may manage this vehicle, while the public offering and listing process is governed by capital markets rules and prospectus legislation.
