The Brazil Securities Commission (CVM) board rejected proposed settlements in three cases, including an investigation into Riza Securitizadora S.A., and accepted a BRL 180,000 settlement proposal from Grupo SBF S.A. board member German Pasquale Quiroga Vilardo. The accepted proposal concerns alleged share sales during the 15-day trading blackout before publication of Grupo SBF's 2024 financial statements. The Riza investigation concerns alleged investment of funds from 76 segregated asset pools contrary to their securitization terms, fraudulent transactions and failures involving asset segregation and compliance independence. Proposals from Riza and three executives were rejected despite the absence of a legal impediment to settlement. A hearing on the merits was considered necessary to assess individual responsibility, and the proposals were not considered sufficient to deter similar conduct. The other rejections concerned former Americanas S.A. employee Raoni Lapagesse Franco Fabiano and investors Daniele de Oliveira Lima and Fernando Constantino da Silva Junior. Fabiano's case involves alleged insider trading. His proposal faced a legal impediment and offered no payment to compensate the market for collective harm, while the seriousness of the alleged conduct also weighed against settlement. The two investors face allegations of price manipulation through layering in live cattle and corn futures. Their proposal omitted repayment of benefits obtained, creating a legal impediment, and fell short of settlement benchmarks for similar cases.
