Ukraine's National Commission on Securities and Stock Market has registered a USD 50 million corporate bond issue by Kernel-Trade, part of the Kernel group. This is the Ukrainian market's first public issuance of foreign currency corporate bonds of this size, offering a domestic alternative to overseas borrowing. The bonds are denominated in dollars, but dollar payments remain subject to applicable currency restrictions. Proceeds will finance operating activities, with 60% allocated to agricultural product purchases, 30% to oilseed processing and 10% to trading, export and logistics operations. The bonds' principal, interest and redemption amounts are specified in USD. Payments are planned in dollars where permitted by the currency rules in force at the time of payment. Temporary restrictions imposed by the National Bank of Ukraine during martial law remain relevant, with payment arrangements detailed in the prospectus. Investors face credit and liquidity risks, alongside uncertainty over future interest rates and currency regulation. After the first six periods, the issuer will determine the interest rate within specified limits. Registration confirms that the documentation meets legal requirements and that information has been fully disclosed. It does not guarantee returns or constitute a recommendation to buy the bonds.
