The Ukraine National Commission on Securities and Stock Market (NSSMC) adopted a set of rule-making, registration and supervisory decisions, including amendments to two of its 2023 decisions and approval of a draft Cabinet of Ministers of Ukraine resolution setting procedures for forming, operating and liquidating supervisory boards of state unitary enterprises (excluding military-industrial enterprises) and their committees. The package also covered multiple issuer and fund registration actions, a proposed change in significant ownership in a licensed market participant, and investor alerts on projects the NSSMC described as dubious. On registration and licensing matters, the NSSMC approved amendments to the private placement of Martin LLC’s series D–K bonds, registered the results report for an issue of shares by JSC OXY BANK without a public offering, and approved draft charters and share issue registrations for several JSCs structured as ZNVCIFs, including Universal Business Solutions, Technopark Invest, Harbin, Eleria and Kapitol. It also registered changes to the share issue prospectus and the share issue of JSC ZNVCIF Viking Gardens and replaced the share-issue registration certificate to support formation of initial authorised capital, while cancelling registrations and prospectuses for investment certificate issues and cancelling the related registration certificate for the Investment Trust Financial Technologies of LLC AMC SIP. In supervision, it refused to approve BENEFIT BROK LLC’s action plan to improve its financial condition, agreed INZHUR LLC’s intention to acquire a significant participation in INZHUR CAPITAL LLC, confirmed PJSC Settlement Center’s compliance with criteria under Cabinet of Ministers Resolution No. 76 of 27 January 2023, and warned investors about BRAINVEST, ONE1PERCENT.CLUB, SpiceProp and Thaurus Guru.
