The Philippine Securities and Exchange Commission has adopted SEC Form BP-01 as the mandatory business plan format for financing and lending companies, setting rules for preparing, submitting, implementing and amending their plans. The 2026 Business Plan Guide operationalizes requirements under Memorandum Circular No. 20, which introduced prudential, disclosure and market-conduct standards and lifted the moratorium on online lending platforms. Newly incorporated financing and lending companies must file an original business plan within 60 days after receiving their certificate of authority and may implement it upon submission, subject to applicable requirements. Companies offering loans through online lending platforms must first disclose and record those platforms. Prior commission approval is required before implementing material amendments covering loan products or pricing, debt collection, complaints handling, data protection or cybersecurity. Nonmaterial changes may be implemented immediately and reported with the next amendment application. Form BP-01 also replaces several separate documentary submissions, including information on service providers, regulatory registrations, complaints handling and specified compliance certifications.
