Thailand's Securities and Exchange Commission has launched a consultation on amendments that would allow existing shareholders of companies seeking listing on the LiVE Exchange to make public share offerings concurrently with the companies’ initial public offerings. The proposal would align the LiVEx framework more closely with the approach for companies listed on the Stock Exchange of Thailand and the Market for Alternative Investment. Shareholder offerings would remain subject to relevant Stock Exchange of Thailand requirements, including silent-period rules and conditions governing venture capital or private equity investment in qualifying small enterprises. Revised offering documents would require participating shareholders to disclose all material information. All directors of the issuing company would have to certify the shareholder-prepared Form 69-SME-PO, and the company would be required to review the information for regulatory compliance. Comments are due by Sept. 4, 2026.
