The Brazil Securities Commission has ordered the immediate suspension of the public tender offer to acquire control of Brava Energia S.A. after its technical staff found unresolved irregularities in the offer documentation. The suspension can last for up to 30 days, until 15 July 2026, and the regulator has asked B3 to take the operational steps needed to halt the auction that had been scheduled for 25 June 2026. The CVM's Superintendence of Securities Registration had previously identified the need for adjustments in the tender offer documents through Official Letter No. 119/2026/CVM/SRE/GER-1. Those corrections were not made by the deadline of 15 June 2026. During the suspension period, the company must either remedy the irregularities or file the appeal referenced in the material fact disclosed on 15 June 2026, subject to the deadline under CVM Resolution 46. If the issues are not resolved within that period, the technical area may order the offer's withdrawal and cancel both the auction and the related registration.
