The Corporate Issuer Relations Superintendence of the Brazil Securities Commission (CVM) issued Circular Letter CVM/SEP 1/2025 to guide listed companies on new document associations in the Empresas.Net system for submitting voting maps for shareholder meetings convened from 1 January 2025, in line with the timelines in CVM Resolution 81. The update applies to voting-map submissions for annual general meetings (AGO), extraordinary general meetings (AGE) and combined meetings (AGO/E). It confirms that, 24 hours before the meeting, companies must submit the synthetic maps from the central depository, the share registrar (escriturador) and votes sent directly to the company, but notes that Article 46-B allows companies to forgo publishing these separate synthetic maps if they instead make available the consolidated synthetic map under Article 46-C(II) within the same 24-hour deadline. After the meeting, a final summary voting map is due by the next business day unless the company files a detailed final voting map by that same deadline; the detailed final voting map must in any case be filed within seven business days of the meeting.
