Thailand Securities and Exchange Commission imposed civil sanctions on six individuals for trading Thaifoods Group Public Company Limited (TFG) shares and TFG-W1 warrants using non-public information about TFG’s first- and second-quarter 2016 operating results, and for aiding and abetting those trades. The Civil Sanction Committee ordered civil penalties and compensation totalling THB1,125,195,148.13. The case followed a referral from the Stock Exchange of Thailand and an SEC investigation into trades made in two periods (1 March–12 May 2016 and 25 May–10 August 2016). The inside information related to material, undisclosed earnings growth (net earnings of THB200.81 million for the first quarter and THB670.73 million for the second quarter). Sanctions were set at THB1,122,195,148.15 for Mr. Winai Teawsomboonkij (civil penalty and compensation equal to the benefit received or to be received), THB1,000,000 for Mr. Nuttawut Teawsomboonkij, THB666,666.66 each for Mr. Wuttipong Wangsomboondee and Miss Panida Trongthammakit, and THB333,333.33 each for Miss Kanyarat Trongthammakit and Miss Woranart Wangsomboondee. The sanctions take effect upon the offenders’ consent; otherwise, the SEC will refer the matter to the public prosecutor to seek civil sanctions in the Civil Court, and any civil penalties and compensation are to be remitted to the Ministry of Finance. Separately, the SEC determined that the sanction against Winai triggers an “untrustworthy” status for listed-company directors and executives, barring him from such roles for a total of 40 months starting from 26 December 2025.
