The Ukraine National Commission on Securities and Stock Market approved a regulation that unifies requirements on ownership structures and the process for obtaining the Commission’s approval of significant participation in professional participants in capital markets and organized commodity markets. The framework aligns expectations for two categories of legal entities: those seeking approval for significant participation and those applying for or holding licences. The regulation sets requirements for ownership structure, its disclosure, and business reputation for licensed entities and licence applicants, as well as for legal entities and individuals that hold, or intend to acquire or increase, significant participation. It also establishes the procedure and conditions for obtaining approval to acquire or increase significant participation, and clarifies that existing licensing conditions for professional activities apply only to the extent they do not conflict with the new regulation. Professional participants must bring their ownership structures into compliance within one year of the decision’s entry into force on 1 February 2026.
