The Board of the Chile Financial Market Commission (CMF) censured Jerónimo Andrés García Bacchiega and Alejandro Alfonso Gil Gómez for breaching Articles 41, 48 and 50 of Law No. 18,046 and Article 85 of the CMF’s Guidelines, after they implemented an agreement of the Board of Directors of Clínica Las Condes S.A. without approved minutes and without unanimous board authorization. Under Law No. 18,046, board minutes are deemed approved only once they are signed, and board agreements may be implemented only from that point. The CMF’s Exempt Resolution No. 13,158 found that the sanctioned individuals carried out a board agreement without the meeting minutes being duly signed by the directors who attended, creating a corporate governance risk by allowing institutional decisions to be executed without proper formal backing.
