Brazil’s Securities Commission (CVM) announced that it will hold a judgment session from 14:00 on 11 November to decide three administrative sanctioning proceedings. The docket includes a case against RSM Brasil Auditores Independentes Ltda. concerning alleged non-compliance with the Continuing Professional Education programme by various partners and technical responsible persons for the 2021 cycle. A separate proceeding concerns Henrique Constantino, opened to assess potential liability as a member of the board of directors of Gol Linhas Aéreas Inteligentes S.A. for a possible breach of Article 154(2)(a) of Law 6,404. The third case concerns Galeno Augusto Jung, Fernando Luiz Alterio, Carla Gama Alves, Marcelo Pechinho Hallack, Marcos Shigueru Hatushikano and Luis Alejandro Soberén Kuri, opened to examine alleged breaches of the Code of Ethical Conduct following the identification of outsourced workers in slavery-like conditions at the 2023 edition of the Lollapalooza festival, alongside alleged failures to oversee Audit Committee activities, to properly assess compliance risks of a contracted company, and to implement improvements in response to issues reported in the 2018 and 2019 festival editions. The session is open to the public and will be held in person at the CVM headquarters auditorium in Rio de Janeiro, with the option to follow via videoconference. If no accused party or their counsel indicates an intention to participate, CVM will conduct the session on a restricted basis through electronic voting, and it noted that the published reports may be amended after the judgment session.
