The Philippine Securities and Exchange Commission has proposed allowing natural persons to count government-issued financial instruments toward the PHP 10 million portfolio investment threshold for qualified individual buyer status. The change would align the eligible portfolio assets for natural persons more closely with those for juridical persons, which may already count government instruments toward their PHP 60 million threshold. Under the proposal, a natural person would continue to qualify by meeting at least one of three financial tests covering annual gross income, portfolio investments or personal net worth, as well as the existing securities trading experience or professional expertise requirement. The portfolio test would cover both securities registered with the Commission and financial instruments issued by the government, including Treasury bills and Treasury bonds. Comments are due by March 31, 2026. Once adopted, the amendments would take effect immediately after complete publication in the Official Gazette or at least two newspapers of general circulation in the Philippines.
