The Bulgaria Financial Supervision Commission (FSC) approved a prospectus for the admission to trading of a bond issue by FS Holding AD and entered the issue in its register of public companies and other issuers of securities for trading on a regulated market. The FSC also entered Green Innovation AD as a public company and registered its share issue for trading, alongside a set of additional authorisations and fit-and-proper approvals affecting an asset manager, a REIT and a feeder fund structure. FS Holding’s bond issue totals BGN 18,000,000 and comprises 18,000 secured, non-convertible, dematerialised bonds with a nominal value of BGN 1,000 each and ISIN BG2100041248. The bonds carry a floating rate equal to six-month EURIBOR plus 1.50%, subject to a floor of 3.00% and a cap of 5.50% per annum, payable every six months, with issue date 30.09.2024 and maturity date 30.09.2031. Green Innovation’s registered share issue totals 4,652,500 dematerialised voting shares with a nominal value of BGN 1 each and ISIN BG1100023222. Separately, the FSC approved Karolina Alexandrova as a person who can independently conclude transactions on behalf of Karoll Capital Management EAD, approved Krasimir Todorov, Deyan Tsonev and Hristo Simeonov (representative of KM Green Energy Fund AD) as members of the board of directors of the Energy and Energy Savings Fund – EEIF REIT, and authorised KBC Asset Management N.V. (Belgium), acting through its Bulgarian branch, for the sub-fund “UBB ExpertEase Dynamic Tolerant Responsible Investing” of UBB ExpertEase Mutual Fund to continue operating as a feeder collective investment scheme to the sub-fund “KBC Dynamic Tolerant Responsible Investing” of the Horizon N.V. umbrella fund. The FSC notified Manikyan Capital AD (in the process of incorporation) that it will be issued a licence to operate as a management company if, within 14 days of receiving the notification, it certifies that the required capital under Art. 90, para. 1 of the Consumer Electronics and Consumer Electronics Act has been fully paid.
