The Alberta Securities Commission (ASC) has banned James Domenic Floreani and Jayconomics Inc. from participating in the Alberta capital market in certain capacities for two years after finding breaches of the Securities Act (Alberta) tied to undisclosed promotional activity. An ASC panel found that multiple posts by Floreani on YouTube, X and Patreon did not clearly and conspicuously disclose they were made or disseminated on behalf of four Alberta issuers. The panel ordered an administrative penalty of CAD 30,000 and costs of CAD 10,185.10, and prohibited the respondents for two years from the decision date or until the administrative penalty is paid, whichever is later, from engaging in investor relations activities, advising in securities or derivatives, and disseminating promotional information, opinions or recommendations about securities or derivatives to the public. The decision also highlighted the risks posed by “finfluencers” when disclosure is missing, including increased risk of investor harm and reduced confidence in the capital market.
