In remarks to compliance professionals, the Director of the U.S. Securities and Exchange Commission’s Division of Examinations announced that the division will publish a modernized and expanded examination process handbook later in September, before the start of the new fiscal year. Replacing the existing EXAMS brochure, the handbook will explain what registrants should expect during examinations, how to engage with examination teams and what steps they can take when issues arise. The division is also seeking greater consistency and coordination through regular knowledge exchanges with the Divisions of Trading and Markets and Investment Management, a staff rotation program between examination and policy teams, and consultation on novel or unique issues. Registrants were encouraged to prepare clear explanations of their businesses, risks and compliance programs, communicate promptly about document production or scheduling constraints, and use exit conferences to challenge or clarify potential findings. Examination teams will not prescribe remediation because firms generally remain responsible for designing measures that meet their legal obligations.
