The Bulgaria Financial Supervision Commission approved a merger transformation contract under which Plovdiv Tech Park AD, Orpheus Club Wellness AD and IT Academy AD will merge into Corporation for Technology and Innovations AD in Plovdiv, and approved the new Articles of Association of Lev Invest REIT in Sofia. It also updated the register of public companies and other securities issuers by registering a new bond issue by Holding Varna AD for trading on a regulated market and writing off an existing bond issue by Industry Development Holding AD. The Holding Varna AD issue comprises 30,000 registered, dematerialised, unsecured, freely transferable, convertible bonds (ISIN BG2100013247) with a nominal value of BGN 1,000 per bond and a seven-year maturity from 09.01.2025, the date of registration in the Central Securities Register maintained by Central Depository AD. The bonds pay a floating coupon equal to six-month EURIBOR plus 1.00% per annum, subject to a floor of 2.75% and a cap of 5.00%, payable every six months. The written-off Industry Development Holding AD issue totals EUR 10,000,000 across 10,000 secured, non-convertible, ordinary registered dematerialised bonds (ISIN BG2100019160) with a nominal value of EUR 1,000 each. Separately, the FSC adopted on second vote amendments to its licensing ordinance covering authorisations for regulated markets, market operators, multilateral trading facilities and organised trading systems, as well as investment intermediaries, investment companies, management companies, special purpose vehicles, national investment funds and alternative investment fund managers, and notified the National Bank of Slovakia and Winners Investments o.c.p., a.s. that the information on its intention to operate in Bulgaria via tied agent Winners Group EOOD is complete. The amended licensing ordinance is to be promulgated in the State Gazette.
