The Brazil Securities Commission (CVM) Board approved entering into a commitment term (Termo de Compromisso) with Housi Serviços Digitais S.A. and Alexandre Lafer Frankel in an administrative sanctioning proceeding, requiring a total payment of BRL 200,000 to the CVM. The decision overruled the recommendation of the Commitment Term Committee (CTC), which had favoured rejecting the proposal. The Federal Prosecutor’s Office attached to the CVM (PFE-CVM) found no legal impediment to the agreement. Under the proposal, Housi will pay BRL 150,000 and Frankel BRL 50,000. The case (PAS 19957.017017/2024-19), opened by the Securitization and Agribusiness Superintendence (SSE), concerns alleged irregularities relating to quarterly and annual financial statements for 2022 and 2023 (possible recurring breach from 2 May 2022 until the close of the charges of Article 33 of CVM Resolution 86) and the financial statements for the year ended 31 December 2021 (possible breach from 31 March 2022 to 1 May 2022 of Article 31 of former CVM Instruction 602).
