The Argentina Securities Commission (CNV) has adopted a final regime for primary placements of negotiable securities following its public consultation. The rules strengthen transparency, conflict of interest management and investor protection, while improving the traceability and identification of final investors and CNV’s access to placement systems. The regime covers wholly domestic placements and the domestic tranches of international placements. International placing agents remain outside its scope when they do not operate in Argentina. Amendments to the CNV Rules introduce standardized information reporting and new definitions for participants in the placement process. They apply to primary placements of negotiable obligations and shares and, where relevant, units in closed-end mutual funds and financial trusts.
