The Thailand Securities and Exchange Commission has launched a consultation on a draft notification requiring qualified internal auditors at companies applying for initial public offerings and listed companies making secondary public offerings. Developed after respondents broadly supported principles consulted on in July 2026, the draft would apply to applications filed from Jan. 1, 2028, by IPO companies seeking listing on the Stock Exchange of Thailand or Market for Alternative Investment and by SPO companies listed on those markets. In-house and outsourced internal auditors would need at least one SEC-prescribed internal audit certificate that is active when the application is filed. They would also need at least five years of work experience beneficial to the applicant’s operations, including at least three years of internal audit-related experience that the audit committee considers relevant and beneficial. From 2028, IPO and SPO companies would disclose internal auditor information in Form 69-1, while IPO, SPO and listed companies would provide applicable disclosures in Form 56-1 One Report for fiscal years beginning on or after Jan. 1, 2028.
