The Guernsey Financial Services Commission has announced updated Prospectus Rules, 2025, following industry consultation earlier in the year, to clarify and standardise prospectus requirements while continuing to align with international standards on investor protection. The revised framework is intended to make the Bailiwick’s investment and funds proposition simpler to use and to support capital raising by Guernsey entities and by non-Guernsey entities within the Bailiwick. Key changes include exempting Professional Investors from scope for promotions of Category 2 Controlled Investments and raising the prospectus registration offer threshold from 50 to 200 non-Professional Investors. Material exemptions also apply to prospectuses of Registered Collective Investment Schemes listed or traded on the London Stock Exchange. The 2025 Rules take effect on 1 July 2025. Prospectuses issued under the 2021 Rules are unaffected, but any new, updated or replaced prospectuses will need to comply with the 2025 requirements.
