The Bulgaria Financial Supervision Commission has approved a prospectus for the admission to trading on a regulated market of a bond issue by Finance Plus Management Holding AD and entered the issue in the register of public companies and other issuers of securities. The Commission also adopted a set of related supervisory decisions covering governance approvals, changes to REIT outsourcing arrangements, removal of an issuer bond from the public register, deletion of an insurance broker, and the closure of an investment intermediary authorisation-related proceeding. The approved Finance Plus Management Holding AD issue totals BGN 10,000,000 across 100,000 ordinary, dematerialized, registered, freely transferable, interest-bearing, unsecured, non-convertible bonds with a nominal value of BGN 100 each, a fixed annual interest rate of 7% paid semi-annually, an issue date of 22.11.2024, a maturity date of 22.11.2031, and ISIN BG2100048243. The Commission wrote off from the register a Development Assets AD bond issue totalling BGN 22,000,000 (22,000 covered bonds with nominal value BGN 1,000 each, ISIN BG2100014187), approved Krasimir Rusinov and Teodora Popovska-Smilenova as board members of Forucom Fund Imoti REIT and UG Market EAD respectively, approved changes to contracts with third parties for Balkan & Sea Properties REIT and Roy Property Fund REIT, deleted Leno Ins EOOD from the insurance brokers register, and terminated (at the applicant’s request) proceedings linked to MK Brokers AD’s intention to carry out activities under Article 9(2) of the MFIA.
