The Central Bank of Russia has developed a Code of Responsible Investment for banks, insurers, management companies, non-governmental pension funds, and other institutional investors investing in equity instruments. The Code sets out recommended principles aimed at improving investment outcomes not only through portfolio management but also through more active engagement with issuers. The Code responds to the regulator’s view that institutional investors are currently insufficiently involved in the corporate governance of joint-stock companies. It calls for investors to interact more actively with issuers to support long-term development prospects and growth in shareholder value, including prioritising investments in companies that have adopted a strategy for increasing shareholder value and using corporate rights to encourage issuers to develop such a strategy where it does not exist. Firms adhering to the Code are expected to publish an annual report on their implementation of the principles.
