The Isle of Man Financial Services Authority, together with the Central Registry, has published two practice notes explaining how to identify registrable beneficial owners and senior managing officials under the Island’s beneficial ownership framework. One provides a three-tier guide for local businesses, while the other gives more detailed guidance for nominated officers and corporate service providers following the 2026 changes to the definition of a registrable beneficial owner. The notes require firms to identify all relevant natural persons under both parts of the definition. A threshold of 25% or more applies to ownership or control through shares, voting rights or another ownership interest, while no percentage threshold applies to control through other means. If no registrable beneficial owner is found after all reasonable steps, the nominated officer must make the prescribed confirmations and report the senior managing official. Beneficial ownership information must be independently verified, kept in the Island for at least five years and updated within the applicable maximum 21-day period after changes are notified. Nominated officers must adopt the new practices and complete the prescribed steps by September 15, 2026. The Authority and Central Registry will hold an online session for stakeholders on August 28, 2026.
