The Kuwait Capital Markets Authority has issued a decision granting Gulf Capital Investment Company a private marketing license to market 161,846 shares in Ares Core Infrastructure Fund iCapital Offshore Access Fund SPC, a collective investment scheme established in the Cayman Islands, within Kuwait. The decision allows a private placement with a maximum aggregate value in Kuwait of KWD 50 million or its equivalent in USD. The shares must be offered at net asset value per share based on the latest monthly valuation, plus a one-time subscription fee of 1.50% payable at subscription. Distribution is limited to professional clients as defined in Book One of the executive bylaws to Law No. 7 of 2010, and subscription requests may be received by Gulf Capital Investment Company and Gulf Bank. The marketing license runs for one year from the date the authority's license certificate is issued, after payment of the prescribed fees. Those fees must be paid within one month of the decision; otherwise, the decision is treated as void.
