The Philippine Securities and Exchange Commission has issued an exposure draft establishing optional paperless filing through the eAMEND Portal for specified amendments to articles of incorporation and bylaws. Eligible changes include principal office address, corporate term, board size and certain fiscal-year and annual-meeting provisions. Other amendments would remain subject to existing procedures requiring hard copies. Applicants would upload executed documents as PDFs, complete eSECURE credentialing and pay 100% of assessed fees within 10 calendar days. Electronic submissions would have the same legal effect as hard copies, subject to verification. Corporate secretaries would have to certify the accuracy of uploaded copies, retain the signed and notarized originals and produce them on request. Failure to provide originals within 15 calendar days would incur a PHP 20,000 penalty and revocation of the amendment application, without prejudice to other sanctions. Comments on the draft are due by April 15, 2026. The proposed circular would take effect one month after publication.
