The Brazil Securities Commission (CVM) has issued guidance to lead coordinators on changes to automatic-registration filings for public securities offerings subject to prior review by a self-regulatory organization and for offerings by unregistered issuers. The changes affect offerings under CVM Resolutions 160 and 232. For offerings reviewed by a self-regulatory organization, three dedicated filing requests with the “AR” suffix will be deactivated and replaced by existing equivalent requests. New mandatory fields will identify whether prior review occurred, the reviewing organization and its case number. Applications for offerings by unregistered issuers will also include revised company-type information and a mandatory field indicating whether the issuer qualifies as a smaller company. Limited liability companies must select “No” because that status applies only to corporations. Implementation has begun and will be completed by Aug. 24, 2026.
