The Ukraine National Commission on Securities and Stock Market approved amendments to the procedure for approving individuals appointed as heads of professional participants in capital markets and organized commodity markets, internal control system officials, and persons responsible for financial monitoring. It also agreed, with comments, a Cabinet of Ministers of Ukraine draft resolution on establishing the Joint Stock Company “Guaranteed Buyer”, alongside a package of registration and licensing decisions. On issuances and disclosures, the Commission approved amendments related to the series B bond issue of TAS DNIPROVAGONMASH LLC in cases where a bond prospectus is not issued, registered a share issue by JSC “Decarbonization Fund of Ukraine” without a public offer, and approved appendices to the prospectuses for NovaPay Credit LLC corporate bonds (series J, B, G and N). It also approved draft charters and initial authorized-capital share issuances for several JSC “ZNVCIF” entities (including VAYANA, OSNOVA CAPITAL, HOTEI, GOLDINVEST, STONE UA, KHALIJI, KELPIE and FINLAND), registered share issuances and related prospectuses for JSC “ZNVCIF” BELFAST and DALIS-CAPITAL, and registered changes to the share-issue prospectus and related registration documentation for JSC “ZNVCIF” FORTIS CONSTRUCTION GROUP. Separate amendments were made to certain prior NSSMC decisions as part of its supervision of joint stock companies.
