The Thailand Securities and Exchange Commission is consulting on eight draft regulations governing private placements of newly issued shares and convertible debentures by companies listed on the LiVE Exchange. Offerings to institutional, ultra-high-net-worth and high-net-worth investors would be limited to 50 investors and a value below THB 10 million in any 12-month period. Qualifying offerings would not require prior SEC approval or the filing of a registration statement and draft prospectus. LiVEx-listed issuers would have to provide relevant disclosures, including sufficient information in shareholder meeting notices. Shareholders would not receive veto rights for lower-price private placements of shares or convertible debentures, or for shares and warrants offered to directors or employees under employee stock option programs. A lower-price offering generally means an offering or conversion price below 90% of the applicable market price or book value per share, whichever is higher. Comments are due by Sept. 7, 2026.
