The National Securities and Stock Market Commission of Ukraine is reviewing securities issuance requirements and developing legislative proposals to simplify registration, particularly for nonpublic issues. The work aims to reduce administrative barriers and the time companies need to raise capital through instruments such as corporate bonds and shares. It continues the commission’s previously outlined effort to broaden financing options for businesses in a securities market dominated by government bonds. The review involves market participants, including businesses with practical experience of issuance and registration, to distinguish requirements that support transparency and investor protection from procedures that impose burdens without a corresponding regulatory benefit. The proposals would simplify certain registration stages while retaining requirements for issuance transparency, disclosure of necessary information and investor rights. These are legislative proposals, not an operational registration regime. Specific mechanisms and implementation timing depend on adoption of the relevant legal and regulatory changes.
