The Brazil Securities Commission (CVM) will hold a judgment session at 15:00 on 9 December to rule on four administrative sanctioning proceedings spanning issuer conduct, audit and accounting compliance, and corporate governance. The docket includes proceedings against Vitor Manuel Cavalcanti Mallmann over an alleged breach of Article 4(1) of CVM Resolution 77 in connection with a 2024 share buyback programme proposed by Eternit S.A.; Ernst & Young Auditores Independentes S.S. Ltda. and Renato Nantes over alleged non-compliance with accounting and independent audit standards related to fair value measurement in the financial statements of private equity investment funds; and Henrique Constantino, a board member of Gol Linhas Aéreas Inteligentes S.A., for a possible infringement of Article 154(2) of Law 6,404, with the judgment having started on 12 November 2025 and later suspended following a request to review the case file. A further proceeding concerns alleged irregularities linked to a capital increase at Indústrias J.B. Duarte S.A. approved at an extraordinary general meeting on 29 April 2019, involving Fábio Aylton de Casal de Rey, Laodse Denis de Abreu Duarte, Edison Cordaro, Paula Cristina Di Marco Huerta and Regiane Cristovão Soares da Cruz. The session is open to the public and will take place in person at CVM’s headquarters auditorium in Rio de Janeiro, with videoconference access also available; if none of the accused or their appointed representatives indicate an intention to attend, the judgment will be conducted in a restricted format via electronic voting. CVM noted that the case reports published with the notice may be amended after the session.
