The Australian Securities & Investments Commission announced that three public companies were convicted and fined a combined AUD 1,170,000 at the Downing Centre Local Court for failing to meet public company obligations, including lodging full-year financial reports with ASIC. The outcome forms part of ASIC’s 2026 enforcement focus on non-lodgement of financial reports. Urban Ecological Systems Limited was fined AUD 240,000 for failing to lodge annual reports for the financial years from 30 June 2020 to 30 June 2025. Invitrocue Limited was fined AUD 530,000 for failing to lodge annual reports for the financial years from 30 June 2020 to 30 June 2025 and for failing to have at least three directors between 29 May 2023 and 22 January 2026. Boyuan Holdings Limited was fined AUD 400,000 for failing to lodge annual reports for the financial years from 31 December 2020 to 31 December 2024, and for failing to maintain at least one secretary between 15 July 2023 and 30 January 2026 and at least three directors between 15 February 2023 and 30 January 2026; the convictions and fines were imposed on 17 March 2026. ASIC cited the non-lodgement offences as breaches of sections 319(1) and 1311(1) of the Corporations Act, and the officeholder breaches as breaches of sections 201A(2), 204A(2) and 1311(1).
