The Bulgaria Financial Supervision Commission approved the prospectus for an initial public offering of warrants to be issued by Republic Holding AD and entered the warrant issue, subject to IPO, into the register of public companies and other issuers of securities. The Commission also approved Todor Danailov as a member of the Management Board and Executive Director of Barents Insurance EAD and notified the competent authorities in Italy, France, Portugal, Austria and Spain of TRUST.BG EOOD’s intention to carry out insurance intermediation under the freedom to provide services. Republic Holding’s offering covers up to 14,690,752 ordinary, dematerialized, registered, freely transferable warrants with an issue value of EUR 0.10 and ISIN BG9200001261. The warrants entitle holders to subscribe the underlying shares at an issue value of EUR 1.60 per share in a subsequent capital increase, with exercise available on the 1,096th day from issuance, or earlier only in specified cases including a company transformation under Chapter Sixteen of the Commerce Act or upon registration of a tender offer under Article 149 and/or Article 149a of the Public Offering of Securities Act; unexercised rights lapse after the exercise date.

The Bulgaria Financial Supervision Commission approved the prospectus for Republic Holding AD's IPO of up to 14,690,752 warrants, each with an issue value of EUR 0.10. The Commission also approved Todor Danailov as Executive Director of Barents Insurance EAD and notified several EU authorities of TRUST.BG EOOD’s intent to provide insurance services.
