Moroccan Capital Market Authority issues threshold crossing notice after Heidelberg Materials Italia Cementi transfers Ciments du Maroc shares to a subsidiary

The Moroccan Capital Market Authority (AMMC) published a threshold-crossing notice concerning Ciments du Maroc following an internal reorganisation at Heidelberg Materials Italia Cementi SpA. On 11 July 2025, the company contributed 5,918,737 Ciments du Maroc shares to its subsidiary Heidelberg Materials AMWA Holding GmbH i.G, crossing downward the participation thresholds of 33.33%, 20%, 10% and 5% in Ciments du Maroc’s share capital. Following the transaction, Heidelberg Materials Italia Cementi reported it no longer holds any Ciments du Maroc shares directly, but holds shares indirectly through its subsidiaries: 5,918,737 shares via Heidelberg Materials AMWA Holding GmbH i.G (41% of the capital) and 1,443,646 shares via Procimar (10%). The company reported a total participation of 7,362,383 shares, representing 51% of Ciments du Maroc’s share capital.
