The Vietnam State Securities Commission sought further stakeholder feedback on a draft circular governing domestic private corporate bond offerings and trading, as well as international corporate bond offerings. The circular would replace two existing Ministry of Finance circulars, retain provisions that remain suitable and align the framework with the government’s new decree on private corporate bonds. The draft covers bond registration, custody and ownership transfers, exchange trading and settlement, post-trade errors and payment defaults. It also updates issuer disclosure forms and reporting requirements for market intermediaries and infrastructure providers, adds annual notification duties for provincial authorities and establishes data-sharing arrangements for the corporate bond information portal. The draft creates no administrative procedures. The drafting committee has received responses from 36 bodies, including 10 that commented on specific provisions. Discussion focused on bond trading, disclosure, erroneous transactions, criteria for temporary payment incapacity and investor classification. The commission will consider the feedback before submitting the draft to the Ministry of Finance for approval.
