Moldova's National Commission for Financial Markets (CNPF) adopted a set of consumer-protection and capital-market decisions, ordering a thematic inspection of non-bank lender GREEN CREDIT SRL and, following a consumer petition, finding that OTP Bank SA breached consumer credit rules and used abusive contractual terms. The regulator plans to bring a court action to have the abusive clauses declared null. The GREEN CREDIT SRL inspection will test compliance with Articles 5, 10, 15(7) and 20 of Law No. 202/2013 on consumer credit agreements for non-bank credit contracts concluded between 29 May 2022 and 30 June 2025. In OTP Bank SA’s case, CNPF identified non-compliance with the debtor’s statutory right to early repayment by conditioning it on a 10 banking-day prior notice, alongside clauses requiring payments by reference to a 'banking day' rather than a 'working day' and clauses that unjustifiably restrict a debtor’s ability to take additional loans or provide guarantees without the creditor’s prior consent. On the capital-markets side, CNPF recorded the results of an additional share issue by Construction Enterprise EDIFICIU SA of 80,000 registered ordinary shares for MDL 800,000 (post-increase share capital MDL 1,446,620, divided into 144,662 class I registered ordinary shares with a nominal value of MDL 10), removed securities from the issuers register for REACTIV SA (liquidation) and BIROUL DE CALATORII DIN CHISINAU (conversion into a limited liability company), and authorised BAZA DE TRANSPORT AUTO-12 EDINET to reorganise into a limited liability company. CNPF also rejected TOPAZ SA’s complaint seeking to overturn the chair’s order consolidating administrative proceedings and suspending the administrative procedure; for EDIFICIU SA, shareholders may submit buyback requests within three months after the increased share capital is registered with the Public Services Agency.
