The European Securities and Markets Authority (ESMA) has launched a consultation to revise the disclosure framework for private securitisations under the Securitisation Regulation. The proposal introduces a simplified disclosure template intended to make information sharing more proportionate while maintaining supervisory authorities’ access to essential data. The template would move towards more aggregate-level reporting and streamline requirements for transaction-specific information, reflecting the operational characteristics of private securitisations. The work follows an earlier ESMA consultation in which stakeholders requested short-term solutions and supported a simplified private securitisation template, with responses summarised in ESMA’s December 2024 Feedback Statement; it also forms part of ESMA’s broader simplification and burden-reduction initiative while keeping the objectives of financial stability, orderly markets and investor protection. Comments are requested by 31 March 2025. ESMA will work with the European Commission to assess whether changes to the technical standards on private securitisation disclosures can be implemented ahead of any review of the regulation itself.
