The Alberta Securities Commission (ASC) has issued a Notice of Hearing alleging that Trust Management Services Inc. (TMSI) and its director, Jelle Braaksma, breached Alberta securities laws by acting as an unregistered dealer and by making prohibited statements and misrepresentations in connection with a purported investment opportunity. The ASC alleges that TMSI raised USD 750,000 from investors in Alberta, Ontario and outside Canada between April 2021 and January 2022, offering investors a share of profits from a commodities trader called Swiss Alpine Trust AG, and that these investments were securities. It also alleges that TMSI guaranteed repayment of investors’ USD 150,000 principal investments despite lacking the financial capacity to do so and failing to take sufficient measures to protect the investments, with the guarantees alleged to be untrue or misleading and material to investors. Braaksma is alleged to have authorized, permitted and acquiesced in TMSI’s breaches; the allegations have not been proven. An appearance to set a hearing date is scheduled for May 28, 2025, and the ASC noted assistance from the United States Securities and Exchange Commission in the matter.
