France's Autorité des marchés financiers (AMF) has awarded its 2025 Marie-Josèphe-Vanel prize for a doctoral thesis in law to Vincent Ramonéda for his thesis, "Actionnaires minoritaires et opérations sur capital dans les sociétés cotées" (Minority shareholders and capital transactions in listed companies), defended in December 2023 at Paris 1 Panthéon-Sorbonne. Created in 2025 to strengthen links with academia and encourage legal research relevant to financial regulation, the prize is being awarded for the first time. The thesis analyses the duties of corporate officers and controlling shareholders toward minority shareholders and the rights of minorities, and argues for reconsidering the regime of certain minority rights. It highlights the concept of a “dissenting minority”, defined as the portion of shareholders opposing a specific transaction, with a view to providing them a reserved withdrawal right similar to arrangements in some foreign jurisdictions. The prize is worth EUR 5,000; the official award ceremony took place on 27 January, and the AMF noted that Ramonéda conducted the research alongside his work as a lawyer and has since become a lecturer in private law at the University of Rouen.
