Ukraine’s National Securities and Stock Market Commission has published a weekly update on work to align corporate law with European Union standards and widen access to capital markets. Proposals prepared for the second reading of draft law No. 15150 cover new business reorganization rules and three corporate legal forms used in the EU. Separate legislation under preparation would allow companies to merge, divide or change legal form across national borders, with that work planned for completion in 2027. On supervision, a delegation completed a study visit to Germany’s Federal Financial Supervisory Authority (BaFin), examining methods for detecting suspicious trading, market manipulation and investment fraud. The program also covered supervision of financial influencers and cryptoassets, alongside EU trading transparency and reporting rules. A memorandum signed with Mastercard covers wider access to investment instruments, fraud protection, cyber resilience and the use of market data. The agreement is not exclusive and gives Mastercard no preferential access to procurement, investment or grant opportunities. The review also consolidates market development priorities previously discussed by Commission Chair Oleksii Semeniuk in Mind and Radio NV interviews and at a Forbes Ukraine investment panel. Work continues on simplifying securities issuance, developing personal investment accounts with tax incentives for investment over the long term, and expanding corporate and municipal bond financing. Foreign capital in Ukrainian capital markets has fallen from more than UAH 120 billion before the full scale war to about UAH 18 billion. Support for an exchange infrastructure holding with a strategic investor remains conditional on safeguards for state interests and market competition. Semeniuk reiterated that investor numbers and public securities issuance volumes would be measures of practical results in 2027.
